CONSIGNMENT AGREEMENT

WHEREAS Consignor wishes to sell those items described in Consignment Items listed below hereto (the "Goods") by consigning said Goods to Retailer for sale; and

WHEREAS, Retailer wishes to attempt to sell the Goods through its own sales efforts;

THEREFORE, the parties agree as follows:

1. Delivery of Goods. Retailer accepts the goods solely on consignment by Consignor. Consignor shall be responsible for the delivery cost of shipments of all of the Goods. All risk of loss or damage to the Goods in transit shall be borne by the Consignor.

2. Consignment Period. This consignment shall begin the day the Goods are delivered to Retailer and complete at the end of 30 days, with the option to extend the period on a month to month basis, or in its own discretion, chooses to end the consignment by giving notice to the other party. This period from start to end known as the “Consignment Period”. At the end of the Consignment Period, Consignor shall arrange to have the Goods picked up from Retailer’s store or delivered from the store to Consignor at Consignor’s expense. If Consignor does not retrieve the Goods within 60 days of the end of the Consignment Period, or if Consignor does not respond to Retailer’s communications for more than 60 days, Retailer may dispose of the remaining Goods with no obligation to sell or return the remaining Goods to Consignor.

3. Return of merchandise. Retailer accepts the Goods on a sale or return basis, meaning Retailer may sell the Goods or return any or all of the unsold Goods to Consignor without any obligation to Consignor at any time during or after the Consignment Period.

4. Pricing. Retailer will make commercially reasonable efforts to obtain the highest reasonable possible price for the Goods and, in any event, will accept no less than the minimum price set forth by the Consignor as the minimum sale price for the Goods.

5. Display. Retailer agrees to display the Goods in a prominent place at Retailer's primary business location during normal business hours.

6. Compensation. Retailer will be entitled to retain 20% of the sale price for all Goods sold pursuant to this Agreement. Within ten (10) days after completion of a sale, Retailer shall forward a check for the amount of the full sale price, payable to Consignor, less the Commission earned by the Retailer, to Consignor at the address set forth for Consignor on the signature line hereof.

7. Loss of Goods. Retailer shall use its normal measures to protect the security of the Goods. However, Retailer accepts no responsibility for Goods lost due to theft, damage or otherwise.

8. Warranties & Indemnification. Consignor warrants to Retailer that the Goods consigned pursuant to this Agreement are not in violation of any trademark, copyright, of other proprietary right of third parties, state or federal law or administrative regulation. Consignor hereby agrees to indemnify and hold harmless the Retailer from all damages, suits, litigation, awards and costs, including but not limited to attorney’s fees, which arise out of the display or sale of the consigned Goods for any reason whatsoever, including but not limited to civil or criminal suits over the authenticity, legality, ownership, infringement of copyright or trademark or any other claim or litigation.
